CONSTITUTION OF THE ‘FRIENDS OF CREMORNE RIVERSIDE CENTRE’

1. The Name The name of the association will be ‘The Friends of Cremorne Riverside Centre’ (hereafter ‘the Friends’)
2. The Association The association will be unincorporated and will be governed by a management committee
3. The Objects The objects of the Friends (the ‘Objects’) are for the public benefit 

(i) To support the Cremorne Riverside Centre (the ‘Centre’) in its endeavour to provide water based and other activities for the benefit of the community

(ii) To actively promote the aims of the Centre and to raise income in support of said aims

4. Application of Income (i) Income derived by the Friends will be applied solely toward the Objects 

(ii) The funds of the Friends, including all grant funds, donations, contributions and bequests will be paid into a bank account separate from the main account operated by the Centre

(iii) Cheques or other financial transactions in the name of the Friends must be signed/authorised by two members of the management committee

(iv) A statement of accounts will be made available annually

(v) Members of the Friends will declare interest in relation to financial matters should the need arise

5. Membership (i) Membership of the Friends is open to all with an interest in supporting the Centre 

(ii) The management committee will set the criteria for membership

(iii) Membership is secured by means of annual.

(iv) A management committee will be drawn from membership of the Friends as of the 13th October.

(v) The management committee, which will be made up from representatives of the user groups from the facility, has the right to withhold membership to persons it considers unsuitable but must inform applicants of reasons in writing

(vi) Council employees may be eligible to be members of the Friends but cannot sit on the on the management committee or have voting rights.

6. The Management Committee (i) The management committee will consist of a Chairman, Treasurer and Secretary. 

(ii) The role of the management committee is to guide the Friends in pursuit of its Objects

(iii) The management committee will meet as often as considered necessary but not less than twice per year

(iv) A quorum is set at three members

(v) Council officers may attend management committee meeting by invitation in the role of advisors but without voting rights

(vi) The management committee may at any time seek the advice of Council Officers in relation to the pursuit of Objects or any other relevant matter

(vii) The management committee will hold an AGM in order to:

  • Receive the financial statement of the year
  • Review membership
  • Elect officers
  • Set affiliation/membership fees
  • Consider any other matters pertinent to the Objects
7. Dissolution (i) As an unincorporated association, the Friends can be dissolved at any time should the membership so wish 

(ii) In such an eventuality, the management committee will remain in place to deal with outstanding matters including financial

(iii) Any assets remaining, including cash holdings, will be disposed of in line with the Objects

(iv) The Friends will seek the advice and guidance, including legal, of the Royal Borough of Kensington and Chelsea in respect of all matters relating to dissolution including disposal of assets

8. Statement on Liabilities The Royal Borough of Kensington and Chelsea Council will retain liability in respect of activities pertaining to the general operation* of the Cremorne Riverside Centre in relation to: 

  • Public and Employer liability insurance
  • The proper staffing and maintenance of the Centre
  • The adequate (industry standard) training of staff and volunteers
  • Operations according with industry standards such as the Adventure Activities Licensing Authority and HSE guidance and statute

Such liabilities not falling to the Friends either individually or severally.

*(Where the Centre rents facilities to a separate organisation under contract, liability is defined in the contract)

This constitution was formally adopted on 27 October 2010 by the Friends of Cremorne Riverside.
